Grant Guidelines

1. ELIGIBILITY:
Nominees must be a 501(c)(3) nonprofit organization whose primary mission is to serve and or assist veterans of the United States armed forces. Other restrictions may apply. All nominees will be reviewed by PPL Services Corporation (“PPL”) to ensure eligibility requirements are met. Only those meeting the requirements will be published publicly and will be eligible for the voting process. PPL employees may not nominate entities for which they are active board members.

Submissions are subject to verification and will be declared invalid and disqualified if they are late, illegible, unintelligible, incomplete, mechanically reproduced, mutilated, forged, falsified, altered or tampered with in any way.

Each party participating in nominating or voting for an entity to receive the Grant agrees that all decisions of PPL regarding the selection of the Grant recipient and all other aspects of the award of the Grant are final and binding in all respects.

PPL will not be responsible, however, if other factors beyond the reasonable control of PPL prevent the Grant or part of the Grant from being fulfilled.

The nomination process will close at 30 entries or on October 17, 2014 (whichever comes first).

The voting period will commence on or before October 24, 2014 and will run through November 7, 2014. Facebook users may vote only one time during the voting period. The organization receiving the most votes will be announced on November 11, 2014 and will be awarded a $1,000 grant from PPL Corporation.

2. CONSENT AND USE OF ENTRANTS’ NAMES AND OTHER PERSONAL INFORMATION:
Any party submitting a nominee and/or voting for the Grant recipient consents to the use, without additional consideration or compensation, of his/her name, biographical information, address, voice, statements, photographs and video footage obtained by PPL as a result of said submission or vote, but only for the limited purposes of (a) promoting and/or advertising energy products and services provided by PPL, and (b) any Grant-related activity and Grant-related announcements and publicity. All said parties further consent and acknowledge that by submitting a nominee or voting for the Grant recipient, any communication or information transmitted to PPL by email, written entry, or otherwise in connection with this Grant is and will be treated as non-confidential and non-proprietary, and PPL may collect, use, and disclose the personal information you provide when you submit a nominee for the purposes of Grant administration and fulfillment. All consents in this Section 2 are perpetual and irrevocable.

3. GENERAL RELEASE:
By submitting a nominee and/or voting for the Grant recipient, said party unconditionally, irrevocably, and forever releases, discharges and holds harmless PPL and its officers, directors, employees, agents, representatives, parent companies, subsidiaries, affiliates, related companies, and advertising and promotional agencies (and the respective heirs, successors, and assigns of each of the foregoing) from any liability whatsoever for any claims, costs, injuries, losses, damages, fees, or expenses (including, without limitation, attorneys’ fees and expenses) of any kind arising out of or in connection with (a) the Grant; (b) participation in the nominating and/or voting process; (c) unauthorized human intervention in the nominating and/or voting process; (e) lost, late, delayed, postage-due, misdirected, or undeliverable hard copy submissions, mail, or email; (f) errors in the administration of the Grant or the processing of nominations or votes; (g) the party’s inability to participate in the nominating or voting process; (h) any interruption in or postponement, cancellation, or modification of the nominating or voting process or issuance of the Grant; (i) human error; (i) any other error or malfunction; (k) any wrongful, negligent, or unauthorized act or omission on the part of PPL or its affiliates or agents; (l) any other cause, condition, or event whatsoever beyond the reasonable control of PPL or its affiliates or agents; or (m) typographical, printing, or other inadvertent errors in these guidelines or in other materials relating to this Grant.

4. CONDUCT:
PPL reserves the right in its sole discretion to disqualify any nomination or votes it finds to have resulted from or been associated with (a) tampering or attempted tampering with the nominating or voting process, as applicable, or any PPL website; (b) a violation of the letter or spirit of the Grant; or (c) unsportsmanlike or disruptive actions, or the intent to annoy, abuse, threaten or harass any other person. Any attempt by any person to undermine the legitimate operation of the nominating or voting process may be a violation of criminal and civil law, and should such an attempt be made, PPL reserves the right to seek damages from any such person to the fullest extent permitted by law. Failure by PPL to enforce any provision of these guidelines shall not constitute a waiver of that provision.


5. GENERAL CONDITIONS:
In the event that the operation, security, or administration of the nominating or voting process is impaired in any way for any reason, including but not limited to fraud, virus, or other technical problem, PPL may, in its sole discretion (a) suspend the nominating process, voting process and award of the Grant to address the impairment and then resume the nominating or voting process, as applicable, in a manner that best conforms to the spirit of these guidelines; or (b) award the Grant from among the eligible nominees received up to the time of impairment. PPL further reserves the right and may, at any time and without notice or obligation, cancel, terminate, suspend, or modify the nominating process, voting process or award of the Grant if it is not capable of completion as planned, including because of weather, infection by computer virus, tampering, unauthorized intervention, or technical or other failures of any sort or any other causes beyond the reasonable control of PPL.


6. CONSTRUCTION/GOVERNING LAW:
All issues and questions concerning the construction, validity, interpretation, and enforceability of these guidelines, the nominating process, the voting process, the award of the Grant, or the rights and obligations of any nominee and/or PPL , shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without giving effect to any choice of law or conflict of law rules or provisions (whether of Pennsylvania or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than Pennsylvania. The invalidity or unenforceability of any provision of these guidelines shall not affect the validity or enforceability of any other provision. If any such provision is determined to be invalid or otherwise unenforceable, these guidelines shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained herein. The participating party agrees that any and all disputes, claims, and causes of action arising out of or in connection with the nominating process, voting process and award of the Grant shall be resolved between the participating party and PPL exclusively by the appropriate court located in the Commonwealth of Pennsylvania.
